Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and RankCommander Inc. ("RankCommander," "we," "us," or "our") governing your access to and use of the website at rankcommander.com and all associated services, features, and content (collectively, the "Service").

By accessing or using the Service, or by clicking "I agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and these Terms apply to that organization.

If you do not agree to these Terms, do not access or use the Service.

1. Description of Service

RankCommander provides an AI-powered platform that analyzes domain names to generate reports on search engine visibility, keyword rankings, backlink profiles, technical audit findings, and AI assistant visibility (collectively, "Reports"). Reports are generated using third-party data sources and AI query interfaces. The Service is designed to provide informational and analytical insights only.

Important notice regarding AI outputs. Reports include data derived from querying third-party AI assistants (including ChatGPT, Claude, Gemini, and Perplexity). These outputs are probabilistic, not deterministic. AI assistant responses vary over time, may contain inaccuracies, and do not constitute definitive statements about any website, brand, or business. RankCommander does not control the outputs of third-party AI systems and expressly disclaims responsibility for their accuracy, completeness, or fitness for any particular purpose.

2. Account Registration and Free Tier

2.1 Account Creation

You may access certain features of the Service without creating an account by providing your email address to receive a free Report. By providing your email address, you consent to receive the Report and related communications as described in our Privacy Policy.

To access the full Service, including paid features and a dashboard, you must create an account using GitHub OAuth or another authentication method we offer. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.2 Free Tier

The Free tier of the Service permits one (1) domain Report per calendar month. Free tier Reports are subject to availability and may be modified or discontinued at any time with reasonable notice. RankCommander reserves the right to limit, suspend, or terminate free tier access at its discretion.

2.3 Accurate Information

You agree to provide accurate, current, and complete information when creating an account or submitting domain requests. You may not impersonate any person or entity or misrepresent your affiliation with any person or entity.

3. Paid Subscriptions

3.1 Plans and Pricing

Paid subscription plans (Scout, Commander, General, and Classified) are available at the prices listed on rankcommander.com/pricing at the time of purchase. All prices are in US Dollars and are exclusive of applicable taxes unless stated otherwise.

3.2 Billing and Auto-Renewal

Paid subscriptions are billed in advance on a monthly basis. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize RankCommander to charge your payment method on a recurring basis for the applicable subscription fee.

3.3 Free Trial and Money-Back Guarantee

Where offered, a 7-day money-back guarantee applies to the first month of a new paid subscription to the Scout, Commander, or General plans only. This guarantee does not apply to the Classified (Field Intelligence) plan. To request a refund under this guarantee, contact support@rankcommander.com within 7 days of your first charge. Refunds are not available for subsequent billing periods, partial periods, plan upgrades, or accounts that have materially violated these Terms.

3.4 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting support@rankcommander.com. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of that period. We do not prorate refunds for unused time in a billing period except as required by applicable law.

3.5 California Auto-Renewal Disclosure

If you are a California resident, in accordance with California Business and Professions Code § 17600 et seq.: Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel. You may cancel at any time through your account dashboard. Cancellation takes effect at the end of the current billing period.

3.6 Price Changes

We may change subscription prices with at least 30 days' notice to your account email address. Price changes take effect at your next renewal date following the notice period. If you do not agree to the new price, you may cancel before your next renewal date.

3.7 Taxes

You are responsible for all applicable taxes. Where required by law, we will add applicable sales, use, value-added, or similar taxes to your invoice.

4. Acceptable Use

4.1 Permitted Use

The Service is licensed for lawful, commercial use to analyze domain visibility and improve search performance for domains you own, manage, or have authority to analyze.

4.2 Prohibited Conduct

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Analyze domains for the purpose of harassment, stalking, or targeting individuals
  • Systematically scrape, crawl, or extract data from the Service through automated means except as expressly permitted by a written agreement with RankCommander
  • Circumvent, disable, or interfere with security-related features of the Service
  • Attempt to gain unauthorized access to any portion of the Service or its related systems
  • Use the Service to infringe any intellectual property right
  • Submit domains containing or associated with illegal content, malware, phishing, or fraud
  • Resell, sublicense, or commercially exploit the Service or Reports without our express written consent
  • Reverse engineer, decompile, or disassemble any component of the Service
  • Use the Service in any way that could impair, disable, or damage the Service or interfere with other users

4.3 Healthcare and Professional Advice Disclaimer

Reports generated by the Service regarding healthcare providers, medical practices, dental practices, legal practices, or other regulated professions are for informational and marketing analysis purposes only. Reports do not constitute medical, legal, dental, or other professional advice. Users in regulated industries are solely responsible for ensuring their use of the Service complies with all applicable regulations governing their profession, including but not limited to HIPAA, state dental practice acts, and state bar rules.

5. Intellectual Property

5.1 Our Intellectual Property

The Service, including its software, design, text, graphics, and all other content created by RankCommander, is owned by RankCommander and protected by copyright, trademark, and other intellectual property laws. These Terms do not transfer any intellectual property rights to you.

5.2 License to Use the Service

Subject to these Terms and payment of applicable fees, RankCommander grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

5.3 Your Content and Data

You retain ownership of all data, content, and information you submit to the Service ("Your Data"). By submitting Your Data, you grant RankCommander a limited, non-exclusive license to use Your Data solely to provide the Service to you.

5.4 Report Ownership

Subject to these Terms and payment of applicable fees, Reports generated for you are licensed to you for your internal business use. You may share Reports with your clients and colleagues. You may not resell Reports or represent them as independently produced without attribution to RankCommander.

5.5 Feedback

If you provide suggestions, feedback, or ideas about the Service, you grant RankCommander a royalty-free, perpetual, irrevocable license to use that feedback in any manner without compensation or attribution to you.

6. Third-Party Services and Data Sources

The Service integrates with and depends on third-party services, including data providers and AI platforms, among other services. The accuracy, availability, and completeness of data provided by these third parties is outside RankCommander's control. RankCommander does not warrant the accuracy of data derived from third-party sources.

Your use of the Service is also subject to the terms of service of these third-party providers. RankCommander is not responsible for the practices or content of third-party services.

7. AI Output Disclaimer

The following provisions are critical. Please read them carefully.

7.1 Nature of AI Outputs

AI visibility scores, prompt gap analyses, and related outputs in Reports are derived from probabilistic AI systems. These outputs:

  • May vary between queries and over time
  • May contain factual inaccuracies, omissions, or errors ("hallucinations")
  • Do not represent the definitive or complete output of any AI platform
  • May not reflect current AI platform behavior at the time of your use
  • Are not endorsements of any business, product, or service

7.2 No Reliance on AI Outputs for Regulated Decisions

AI outputs in Reports must not be relied upon as the sole basis for any legal, financial, medical, clinical, regulatory, or other decision requiring professional judgment. You are solely responsible for independently verifying any AI-generated content before acting on it.

7.3 No Guarantee of Results

RankCommander does not guarantee that following the recommendations in a Report will improve your search rankings, AI visibility, patient acquisition, client acquisition, revenue, or any other outcome. Results depend on factors entirely outside RankCommander's control.

8. Disclaimer of Warranties

THE SERVICE AND ALL REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RANKCOMMANDER DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

RANKCOMMANDER DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY DATA, REPORTS, OR RESULTS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, COMPLETE, OR CURRENT; (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (D) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

Some jurisdictions do not allow the disclaimer of implied warranties, so some of the above may not apply to you.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

9.1 RANKCOMMANDER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, CUSTOMERS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF RANKCOMMANDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 RANKCOMMANDER'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO RANKCOMMANDER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

9.3 THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF RANKCOMMANDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless RankCommander and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party right; or (e) any data or content you submit through the Service.

11. Term and Termination

11.1 Term

These Terms are effective from the date you first access the Service and remain in effect until terminated.

11.2 Termination by You

You may terminate your account at any time by canceling your subscription and ceasing use of the Service. Cancellation of a paid subscription takes effect at the end of the current billing period.

11.3 Termination by RankCommander

We may suspend or terminate your access to the Service immediately, with or without notice, for any of the following reasons: (a) material violation of these Terms; (b) non-payment of fees; (c) conduct that we reasonably believe harms or threatens to harm other users, third parties, or RankCommander; (d) legal requirements; or (e) discontinuation of the Service.

11.4 Effect of Termination

Upon termination, your license to use the Service ends immediately. We will delete your account data within 90 days following termination, subject to legal retention requirements. Provisions that by their nature should survive termination (including Sections 7, 8, 9, 10, 12, and 13) will survive.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For users in the EEA or UK, mandatory consumer protection provisions of your country of residence may also apply.

12.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@rankcommander.com and attempt to resolve the dispute informally for at least 30 days.

12.3 Binding Arbitration

Except for disputes that qualify for small claims court, all disputes arising under these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.4 Class Action Waiver

YOU AND RANKCOMMANDER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.5 Exceptions

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and RankCommander with respect to the Service and supersede all prior agreements.

13.2 Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of those rights.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. RankCommander may assign these Terms without restriction.

13.5 Force Majeure

RankCommander will not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, government actions, internet or infrastructure failures, or third-party service outages.

13.6 Notices

We may provide notices to you via email to your account address or by posting notices on rankcommander.com. You may provide notices to us at support@rankcommander.com.

13.7 Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice via email before the changes take effect. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date.
